CEA Industries shares surged more than 60% in premarket trading after Four.meme’s 4Stock platform chose the company as its first on-chain equity, creating a blockchain token called BNC4 that is designed to track the company’s common stock on a 1:1 basis. The move put a small U.S.-listed company with a large BNB treasury at the center of a fast-moving experiment linking public equities, token issuance and BNB Chain trading.
The stock briefly climbed more than 90% in early trading to $6.08 before retreating to around $5.55, according to the market figures provided in the materials. The sharp reversal illustrated the challenge facing any tokenized-equity product launched into a speculative crypto market: the underlying share can trade under conventional market rules, while the associated token may be repriced within minutes by decentralized liquidity and social-media attention.
Four.meme previously said that more than $2 million had been queued for BNC4 minting. A later tally cited in the materials put deposits to the BNC4 minting address above $8.9 million. Those funds were described as being intended for purchases of the underlying CEA Industries shares in the stock market, supporting the token’s stated 1:1 structure.
bnc4 volatility outpaced the listed shares
Trading in the blockchain version was considerably more volatile than trading in CEA Industries’ Nasdaq-listed stock. BNC4 reportedly rose to about $35 before falling near $7.32 after an early holder swapped 6,666 tokens for roughly 231,000 USDT. Such a move can have an outsized effect in a newly launched pool, where available liquidity is smaller than the market capitalization implied by the last trade.
That gap between token price behavior and the underlying security is likely to become the central test for 4Stock. A 1:1 pegged token requires reliable processes for minting, redemption, custody and underlying-share purchases if it is to remain closely aligned with the stock. Without sufficient liquidity or a workable arbitrage route, on-chain prices can deviate sharply from the share price even where a token is marketed as backed by stock.
The related 4Stock meme asset also exceeded a $60 million market value within hours, according to the supplied figures. Four.meme’s mechanism directs 100% of daily fees toward token buybacks and burns, although its cited conditions require pools to have more than 3,000 holders and a base market value of at least 500,000 USDT before buybacks apply. That fee design may support demand for the platform token, but it does not by itself guarantee that BNC4 will maintain parity with CEA Industries shares.
launch follows months of boardroom conflict
The token launch came after a prolonged governance dispute involving YZi Labs and a board faction led by David Namdar. The conflict began in November 2025 and focused on control of CEA Industries. Company-related materials alleged that Namdar had moved several million dollars from CEA Industries into accounts in his own name.
CEA Industries announced an agreement with YZi Labs on June 23, 2026, restructuring both its board and executive leadership. Ella Zhang, Alex Odagiu and Matthew Roszak joined the board, giving the YZi Labs-backed group three of the board’s six seats. They serve alongside Carly E. Howard, Annemarie Tierney and Glenn Tyranski.
As part of the agreement, YZi Labs ended a consent solicitation campaign that had sought to expand the board. It also withdrew related demands for corporate books and records and for a record date.
Odagiu became interim president, reporting to the board until the company appoints a permanent chief executive. CEA Industries later named Chief Financial Officer William B. Miller interim CEO on July 22, the date of its delayed 2026 shareholder meeting. The company’s disclosures characterize Miller’s position as a filing and reporting designation, while describing Odagiu’s interim president role as separate.
Company documents set Odagiu’s monthly salary at $25,000. His duties include shareholder communications, engagement with BNB ecosystem counterparties and public messaging concerning the company’s BNB treasury and digital-asset strategy. The same documents state that he does not oversee daily operations, execute outside contracts, hire staff or manage finance.
a bnb treasury trades at a steep discount
CEA Industries’ corporate valuation is closely tied to its BNB holdings. In full-year fiscal 2026 results released June 23, the company reported holding 515,544 BNB as of April 30, valued at approximately $380 million. It reported an average cost of $855 per BNB, fiscal-year net profit of $115.2 million and diluted earnings per share of $2.52.
The company also said it repurchased 1,434,112 common shares for $3.8 million during the fiscal year. Its public dashboard continued to show 515,544 BNB at the time referenced in the materials, indicating that the company had not disclosed additional BNB purchases for more than four months.
The market was valuing the company at about $140 million, according to the cited materials, despite the much larger stated value of its BNB reserve. Its mNAV — a measure comparing the company’s market value with the value of its crypto holdings — stood near 0.5. Under the same calculation, CEA Industries’ stock would need to trade at least $9.39 for the company to move above net asset value, implying a market capitalization of roughly $387 million.
That discount leaves BNC4 exposed to two separate sources of volatility: movements in CEA Industries’ shares and movements in the price of BNB, which dominates the company’s balance sheet. A tokenized version of the stock could make that structure easier for crypto-native traders to access, but it also brings the company’s governance headlines, treasury policy and stock-market discount into a 24-hour on-chain trading environment.
Changpeng Zhao added to the attention surrounding the launch by reposting comments from a July interview during the September 8 price move. The comments referenced personal investments in CEA Industries by YZi Labs members. Odagiu also changed his profile image to include the phrase “MAKE BNC GREAT AGAIN,” according to the materials.
The initial BNC4 trading showed how quickly enthusiasm around a tokenized-stock launch can produce prices that diverge from the listed equity it is intended to represent. Whether Four.meme can narrow those gaps will depend less on launch-day volume than on its ability to sustain underlying-share purchases, on-chain liquidity and a credible mechanism for keeping BNC4 tied to CEA Industries stock.
