Intel has expanded its planned common-stock sale to $20 billion, issuing roughly 210.5 million shares at $95 each to finance a faster buildout of AI data-center chips, manufacturing capacity and its contract chipmaking business. The deal, initially proposed as a $15 billion offering, would be among the company’s largest equity raises and adds a substantial new source of funding for capital-intensive projects already pushing its 2026 spending plans higher.
Intel said the offering was expected to close on Aug. 12, 2026, subject to customary conditions. The company estimated net proceeds of about $19.7 billion before any exercise of an underwriters’ option to purchase additional shares.
The share sale followed an initial market reaction on Aug. 10, when Intel stock fell as much as 4.1% after the company’s financing plans became public. Such a move is typical of a large equity issuance: new shares increase the company’s cash balance but dilute the ownership percentage of existing shareholders.
More than 4% dilution before the underwriters’ option
Intel reported in a Securities and Exchange Commission filing that it had about 5.044 billion shares outstanding as of July 17. The base offering of 210.5 million shares represents roughly 4.2% of that total.
Underwriters also received an option to buy up to 31.6 million additional shares, which could increase the final size of the issuance if fully exercised. At the $95 offering price, that option would add close to $3 billion in gross proceeds and take dilution beyond the base level.
The scale of the sale places Intel’s spending needs ahead of its preference to avoid dilution. Chip fabrication plants require years of investment in facilities, production tools and process development before they generate meaningful revenue. Intel is trying to fund those commitments while competing for AI-related server demand against semiconductor companies that have already built large positions in accelerators, networking and high-performance computing hardware.
Intel said the proceeds would be used for general corporate purposes, including capital expenditures and working capital. In practical terms, the funds give the company more room to finance factories and product development without relying solely on operating cash flow or additional debt.
AI demand lifts Intel’s spending forecast
The financing came after Intel raised its 2026 capital-expenditure forecast to $20 billion from $18 billion. The company linked the increase to stronger-than-expected demand for AI-related servers, a segment that requires high-performance processors and increasingly complex manufacturing processes.
Intel reported second-quarter 2026 revenue of $16.1 billion, up 25% from a year earlier. Its data center and AI segment generated about $6.3 billion in revenue, a 59% increase year over year, making it the company’s fastest-growing major operating area in the quarter.
The figures suggest that Intel’s spending plan is being supported by a sharper improvement in demand than the company had previously anticipated. Yet the equity raise also shows the cost of meeting that demand. Higher sales do not immediately remove the need to spend heavily on new capacity, especially as semiconductor production moves toward more advanced nodes and packaging technologies.
Intel forecast third-quarter revenue of $15.8 billion to $16.8 billion and non-GAAP earnings per share of $0.38. The guidance indicates that the company expects revenue to remain near its second-quarter level after a strong period for data-center products.
Margins improve as manufacturing losses narrow
Intel’s gross margin rose to 41.8% in the latest quarter, compared with 29.7% a year earlier, according to the company. Adjusted earnings reached $0.42 per share.
Its manufacturing division also reduced operating losses to $2.1 billion from $3.17 billion in the prior-year period. That progress is meaningful for Intel’s turnaround plan, which depends on making its factories more efficient while expanding services for external chip customers.
Foundry revenue rose 31% to $5.8 billion in the second quarter. Much of that figure, though, continued to come from manufacturing services provided to Intel’s own product groups rather than outside customers. Revenue from external foundry customers was $293 million, or 5.1% of the segment’s sales.
That split remains a central challenge for Intel’s foundry strategy. Internal demand can keep factories busy and support the reported revenue line, but external clients are needed to establish the business as a durable competitor to established contract manufacturers. Outside customers must be willing to commit designs, production schedules and long-term supply agreements to Intel’s manufacturing network.
Intel has said its 14A manufacturing process is scheduled for volume production in 2028. The timeline gives the company several years to convert technical progress into external foundry contracts, while maintaining investment in its nearer-term 18A process.
Manufacturing expansion remains the costly test
Intel said output of 18A silicon wafers increased by more than 50% from the preceding quarter. Higher wafer output points to progress in bringing the newer manufacturing process toward larger-scale production, though it does not by itself show how quickly the technology will translate into profitable sales.
The $20 billion stock offering gives Intel a larger financial cushion for that transition. It also leaves shareholders weighing a clear trade-off: immediate dilution in exchange for funding that could accelerate capacity additions, support AI-chip development and reduce pressure on the company’s balance sheet as its foundry business seeks external customers.
For the semiconductor market, the offering reinforces how expensive the AI infrastructure race has become. Demand for data-center computing is improving Intel’s revenue and margins, but competing for that demand requires an investment cycle large enough to reshape the company’s share count.
