Toobit Affiliate Program Agreement & Regulations

Effective Date: September 1st, 2025

This Affiliate / KOL Program Agreement (“Agreement”) sets out the terms and conditions for participation in the Toobit Affiliate / KOL Program (the “Program”). By applying to, enrolling in, or participating in the Program, you (“Affiliate”, “you”) agree to be bound by this Agreement and Toobit’s Platform Terms (including the User Agreement, Privacy Policy, and any program-specific rules, each as updated from time to time).

1. Definitions

1.1 “Affiliate Account” means your registered account for participation in the Program. 1.2 “Affiliate Code/Link” means the referral code, link, or identifier assigned to you for tracking and attribution. 1.3 “Client” means a user who registers with Toobit through your Affiliate Code/Link in accordance with Toobit’s attribution rules. 1.4 “Marketing Materials” means any content (online or offline) that mentions, displays, or promotes Toobit. 1.5 “Restricted Jurisdictions” means jurisdictions or regions where Toobit restricts or does not provide services, as stated in Toobit’s Platform Terms or compliance notices from time to time.

2. Eligibility and Enrollment

2.1 You must be at least 18 years old, legally capable of entering into contracts, and provide complete and accurate information during registration.

2.2 Toobit may approve, reject, suspend, or terminate Affiliate Accounts at its sole discretion.

2.3 If you participate on behalf of an entity, you represent that you are authorized to bind that entity.

3. Relationship of the Parties

3.1 Affiliates act as independent contractors. This Agreement does not create a partnership, joint venture, employment, or agency relationship.

3.2 Affiliates may not represent themselves as employees or agents of Toobit or make commitments on behalf of Toobit.

4. Conduct Requirements

4.1 Compliance. Affiliates must comply with all applicable laws, regulations, and Toobit Platform Terms. 4.2 Community Growth. Affiliates must grow their communities organically and in acceptable ways. Prohibited activities include:

Forced user joins, join-gates, or coercive community-building.
Use of bots, fake accounts, or purchased traffic.
Promotion via adult content providers or inappropriate/illegal content.
Any activity that harms Toobit’s reputation, credibility, or user trust. Violation of this clause will result in immediate termination.

4.3 Market Integrity. Affiliates are prohibited from engaging in or promoting pump-and-dump schemes, wash trading, spoofing, or any other form of market manipulation. Violations result in immediate termination. 4.4 Accuracy. All promotions must be truthful and not misleading. Claims of guaranteed profits or exaggerated results are prohibited. 4.5 No Investment Advice. Affiliates may not provide personalized investment advice or imply that they speak on behalf of Toobit. 4.6 Jurisdictional Restrictions. Affiliates must not target users in Restricted Jurisdictions. 4.7 Paid Advertising. Any paid advertising (Google Ads, Meta Ads, etc.), raffles, giveaways, or promotions referencing Toobit require Toobit’s prior written approval.

5. Promotion Guidelines

5.1 Affiliates may promote Toobit through approved channels, including social media, blogs, newsletters, educational platforms, and compliant offline events.

5.2 All Affiliate Codes/Links must direct users to official Toobit websites or applications. Cloning or mimicking Toobit’s sites is prohibited.

5.3 Comparative claims must be accurate, substantiated, and not misleading.

5.4 Affiliates must promptly remove or amend any non-compliant Marketing Materials upon Toobit’s request.

6. Tracking and Commission

6.1 Attribution of Clients and commissions is determined exclusively by Toobit’s systems and rules.

6.2 To dispute a commission report, Affiliates must notify Toobit in writing within ten (10) business days of receipt. Otherwise, Toobit’s records will be final.

6.3 Toobit may withhold, adjust, or cancel commissions that arise from prohibited activities, fraud, or breaches of this Agreement.

6.4 Toobit may amend payout structures, currencies, schedules, thresholds, or eligibility criteria at any time, with updates posted on the Program page or Affiliate dashboard.

7. Penalties and Enforcement

7.1 Minor Violations (low impact, unintentional, or first occurrence):

First violation → Written warning.
Second violation → Suspension of commissions for two (2) weeks.
Third violation → Termination of collaboration.

7.2 Serious Violations (intentional, fraudulent, or high-risk conduct, including pump-and-dump, market manipulation, adult/bot/forced-join traffic, targeting restricted jurisdictions, or repeated violations):

Immediate termination of collaboration.
Forfeiture and/or clawback of commissions.
Toobit may pursue legal remedies where appropriate.

7.3 Interim Measures. Toobit may impose temporary commission holds, disable Affiliate Codes/Links, suspend accounts, or require corrective communications while investigating suspected violations.

8. Intellectual Property

8.1 Toobit retains all rights to its trademarks, logos, content, and platform. Affiliates may use Toobit’s brand assets only as expressly permitted.

8.2 Upon termination, Affiliates must immediately cease using Toobit’s intellectual property and remove all related Marketing Materials.

9. Data Protection and Privacy

9.1 Affiliates must comply with applicable data protection laws and Toobit’s Privacy Policy.

9.2 Affiliates must not misuse, sell, or unlawfully share personal data collected during Program activities.

10. Modifications

10.1 Toobit may amend this Agreement, Program rules, or commission structures at any time.

10.2 Updates become effective upon posting on the Program page or Affiliate dashboard. Continued participation constitutes acceptance of updates.

11. Termination

11.1 This Agreement remains in effect until terminated by either party.

11.2 Toobit may suspend or terminate an Affiliate’s participation immediately for breach of this Agreement or risk to Toobit’s brand, users, or compliance obligations.

11.3 Affiliates may terminate participation at any time by written notice and ceasing promotion.

11.4 Upon termination, Affiliates must remove all Marketing Materials and stop using Toobit’s brand. Earned commissions up to termination may be paid unless subject to forfeiture under this Agreement.

12. Representations

Affiliates represent and warrant that their activities will:

Comply with all applicable laws and this Agreement.
Use only legally owned or licensed content.
Not misrepresent affiliation or authority to act on behalf of Toobit.

13. Acceptance

By checking the acceptance box during enrollment or by participating in the Program, you confirm that you have read, understood, and agreed to this Agreement. Continued participation constitutes ongoing acceptance of any updated terms.
