US prosecutors charge Robinhood engineers with crypto fraud

Federal prosecutors in Manhattan have charged two Robinhood engineers with commodities fraud and wire fraud, alleging they used confidential information about planned cryptocurrency listings to trade perpetual futures on Hyperliquid before Robinhood Crypto made the listings public.

The U.S. Department of Justice alleged that Hefu Chai, 36, and Huaisong Xiang, 30, used nonpublic information obtained through their jobs to establish derivatives positions tied to tokens that Robinhood Crypto was preparing to list between 2025 and 2026. Each defendant allegedly made more than $50,000 from the trades.

The case extends the U.S. government’s enforcement approach to a corner of crypto markets where traders can take leveraged positions without purchasing the underlying token. Rather than alleging that Chai and Xiang bought tokens before spot-market listing announcements, prosecutors said the pair traded perpetual futures, derivatives contracts designed to track an asset’s price without an expiry date.

Charges focus on confidential listing information

According to the criminal complaint, the defendants had access to information about cryptocurrency assets Robinhood Crypto intended to add to its platform. Public listing announcements can move token prices sharply by introducing an asset to a large retail brokerage audience and increasing its potential trading access.

Prosecutors allege Chai and Xiang used that information before the announcements to place trades on Hyperliquid, a blockchain-based derivatives platform. The complaint describes repeated instances of positioning ahead of listing news during the 2025-2026 period, suggesting prosecutors are treating the conduct as an alleged pattern rather than a single trade.

Jay Clayton’s successor as U.S. Attorney for the Southern District of New York, McDonald, said the charges concern trading in derivatives markets using misappropriated corporate information. The government’s statement referred to perpetual futures, tokenized securities and comparable financial instruments, framing the alleged conduct within established fraud theories despite the trading occurring through crypto-native products.

Chai and Xiang are each charged with one count of commodities fraud under the Commodity Exchange Act and one count of wire fraud. The commodities-fraud count carries a maximum prison term of 10 years, while wire fraud carries a maximum of 20 years. Charges are accusations, and the defendants are presumed innocent unless proven guilty in court.

Perpetual futures bring a different enforcement test

The allegations place particular attention on perpetual futures, which have become a major venue for crypto speculation because they allow traders to bet on price gains or declines with leverage. A long position can profit if the token price rises, while a short position can profit if it falls.

That structure could make advance listing information valuable even when a trader does not buy the token itself. A person expecting a Robinhood listing to create fresh demand might open a long perpetual-futures position before the announcement, then close it after the market reacts.

The legal theory also avoids a question that has often complicated U.S. cryptocurrency enforcement: whether a specific token should be classified as a security. The Commodity Exchange Act charge focuses on alleged fraud involving commodity-related derivatives trading, while wire fraud broadly addresses schemes using electronic communications to obtain money or property through deception.

Federal authorities have increasingly pursued cases involving nonpublic information in digital-asset markets, where listing decisions, project announcements and regulatory news can trigger sudden price moves. The Chai and Xiang case suggests that the use of decentralized or onchain trading infrastructure does not prevent prosecutors from applying conventional market-misconduct theories.

Case follows earlier token-listing prosecution

The Justice Department drew a comparison with its 2022 prosecution involving advance knowledge of Coinbase token listings. That matter was described by the department as its first cryptocurrency insider-trading tipping scheme and involved three defendants accused of trading based on confidential information about assets scheduled to be listed by Coinbase.

The Robinhood-related allegations differ in one practical respect: prosecutors say the defendants traded derivatives rather than buying the underlying tokens ahead of a listing. That distinction reflects how crypto markets have changed since the Coinbase case, with perpetual futures now providing a readily accessible way to make directional bets around anticipated market-moving events.

It also gives prosecutors an opportunity to test how traditional fraud statutes apply to activity conducted through a decentralized trading venue. The complaint’s focus is on the alleged misuse of information and the resulting trades, rather than on whether the venue operated like a conventional brokerage or futures exchange.

Companies face pressure to protect listing schedules

For brokerages and trading platforms, token-listing plans can be commercially sensitive long before a public announcement. Employees involved in engineering, compliance, operations, asset review and product launches may learn of a planned listing before customers do.

The allegations underline the value of restricting access to listing schedules, logging access to internal systems and monitoring employee trading where permitted by law and company policy. Those controls have long been common around stock listings, mergers and earnings releases, but crypto platforms face additional challenges because derivatives markets can be open around the clock and operate across multiple venues.

For traders, the case is a reminder that a trade placed through a blockchain-based platform can still become central evidence in an investigation when prosecutors can connect wallet activity, timing and other records to an alleged source of confidential information. Public blockchain data may reveal transaction histories, while offchain communications, account records and workplace access logs can help investigators build a broader timeline.

The outcome of the case will depend on evidence presented in court. But the charges show that U.S. prosecutors are applying fraud laws to alleged misuse of private listing information even when the trade is executed through perpetual futures rather than through a traditional securities account.
