Tesla and SpaceX explore potential merger deal

2026-10-21 05:33

AnalysisPartnership

Tesla and SpaceX have formed independent special committees to examine a possible merger, Elon Musk said during SpaceX’s third-quarter earnings call on Oct. 20, opening a formal process for a combination that could unite two of Musk’s largest companies while leaving valuation, deal structure and timing unresolved.

Musk said he would recuse himself from the process because of conflicts of interest. He also cautioned that no agreement has been reached and that there is no assurance the discussions will produce a transaction. The committees have not disclosed their members, mandates, advisers or a timetable for negotiations.

Any proposal would face an unusually demanding shareholder hurdle at Tesla. Musk said a transaction would require approval from holders of 50% of all Tesla shares outstanding, with abstentions treated as votes against. That standard raises the threshold beyond a simple majority of votes cast and could make shareholder turnout a decisive issue.

Tesla’s Dec. 3 meeting has no merger vote

Tesla’s proxy statement, dated Oct. 19, scheduled its annual shareholder meeting for Dec. 3. The published agenda does not include a merger proposal, leaving little room for a completed transaction to be put before shareholders on that date unless Tesla issues additional materials or calls a separate meeting.

A formal merger would ordinarily require detailed public documentation setting out consideration, governance arrangements, financial information and the rationale behind the deal. No public filing has yet disclosed negotiated terms, an exchange ratio, a valuation range or whether the companies are considering an all-stock transaction.

The committee process gives both companies a mechanism to assess a deal without Musk directing negotiations on either side. It also places scrutiny on how each board defines independence, particularly given overlap between the two companies.

Ira Ehrenpreis, chair of Tesla’s compensation and governance committee, has served as a SpaceX director since February while remaining listed as independent by Tesla. His role does not by itself determine whether a merger process would meet governance standards, but it may become a focal point if Tesla identifies directors for its special committee or seeks shareholder approval.

SpaceX results show high growth and heavy spending

SpaceX’s third-quarter financial figures offer an early view of the operating profile Tesla’s board would need to evaluate. The company reported $14.58 billion in quarterly revenue, up 161% from a year earlier, alongside $4.4 billion in net profit and adjusted EBITDA of $8.8 billion.

Its “super intelligence” segment generated $7.56 billion in revenue, up 830% year over year, and reported operating profit of $431 million, equivalent to a 5.7% margin. Starlink contributed $5.25 billion in revenue and $2.37 billion in operating profit, producing a 45.1% operating margin.

Those results also came with substantial cash demands. SpaceX reported third-quarter capital expenditures of $19.59 billion and guided for $35 billion to $40 billion in fourth-quarter spending. It recorded a $413 million loss over the first nine months of the year.

The combination of fast-growing revenue and rising capital expenditure would shape any valuation debate. Tesla brings a public equity currency, established manufacturing operations and a large retail shareholder base. SpaceX brings Starlink’s higher-margin service revenue and a capital-intensive launch and satellite business that has remained privately held.

A deal could create a large corporate Bitcoin reserve

The two companies would also combine their reported Bitcoin holdings under a single corporate structure if a merger proceeds. Financial disclosures cited in the report show SpaceX held 18,712 BTC at the end of September, while Tesla held 11,509 BTC.

Together, the reserve would total 30,221 BTC. Using the values stated in those disclosures, SpaceX’s holdings were worth about $1.573 billion and Tesla’s reserve carried a book value near $791 million.

A combined treasury of that size would place decisions about custody, impairment accounting, sales and future purchases under one board. It would not automatically mean that the new company plans to trade or add to its Bitcoin position. Neither Tesla nor SpaceX has disclosed a merger-related digital-asset policy, and the reported holdings provide no indication that either company intends to change its treasury strategy.

The potential reserve matters chiefly as a balance-sheet consideration in a transaction already likely to involve complex questions of ownership and control. Bitcoin’s market value can change quickly, which means the value of the combined holdings could move between the announcement of any deal and its closing.

Analysts sketch frameworks, not agreed terms

Based on estimated market values cited in the report, SpaceX is valued at roughly $2.1 trillion and Tesla at about $1.5 trillion. That comparison implies an exchange ratio near 0.7 before accounting for any premium, although neither company has endorsed a valuation.

Tom Narayan, managing director of global autos at RBC Capital Markets, said SpaceX acquiring Tesla through an all-stock transaction would be the most practical structure. His framework used a $480 reference price for Tesla shares, reflecting an assumed premium of about 30%, and estimated a combined value of roughly $3.74 trillion. Narayan described the figures as a scenario rather than an offer.

The same framework estimated Tesla shareholders’ ownership could fall from 54% to 48% in a combined company. Separate sell-side calculations cited in the report estimated that Musk could own about 37% of the combined entity while controlling about 56% of voting power.

Dan Levy, senior equity analyst at Barclays, wrote on Oct. 14 that an announcement could arrive before Tesla’s annual meeting, while the approval and closing process could take longer. Garrett Nelson, senior equity analyst at CFRA Research, assigned a 90% probability that a deal would close by the end of the following year, though that projection preceded Musk’s confirmation that no terms had been agreed.

Tesla’s third-quarter results, scheduled for Oct. 21, may add more information to the equation, especially on automotive gross margins, vehicle deliveries and AI-related capital spending. Tesla reported 486,532 vehicle deliveries for the third quarter and energy-storage deployments of 13.7 gigawatt-hours, according to the supplied figures.

For now, the prospective transaction remains an exploratory board process rather than a merger proposal. Its progress will depend on committee work, formal disclosures, negotiated economics and Tesla’s ability to secure approval from at least half of all outstanding shares.
