Cypherpunk launches US Zcash mining fleet

Cypherpunk Technologies Inc. has put a U.S.-based Zcash mining fleet with roughly 4.2 GSol/s of Equihash computing power online after completing a $33.33 million equity-funded asset purchase connected to Winklevoss Capital. The company said the machines represent about 18% of Zcash’s total network hashrate, a concentration that would give Cypherpunk an unusually large role in producing blocks and earning newly issued ZEC.

The deployment turns Cypherpunk’s Zcash strategy into an operating mining business alongside its existing ZEC holdings. The company reported owning 323,394.38 ZEC, or approximately 1.92% of the cryptocurrency’s circulating supply, and said it intends to increase that position to 5% over time.

Cypherpunk said its fleet uses latest-generation Z15 Pro miners and is distributed across several hosting facilities in the United States. It described the operation as the largest active Zcash mining operation, although the announcement did not provide a ranking of competing operators or identify the facilities involved.

The company estimates the market for Zcash mining rewards exceeds $250 million annually at current ZEC prices. Zcash distributes roughly 43,800 ZEC to miners each month, according to Cypherpunk’s figures, equivalent to about 1,440 ZEC per day. A mining operation responsible for 18% of hashrate would, in principle, be positioned to capture a comparable share of block rewards over time, subject to pool arrangements, downtime, network-difficulty changes and the performance of the machines.

Equity transaction funded the mining acquisition

The mining assets were acquired by Cypherpunk Mining LLC, a company subsidiary, under an asset purchase agreement involving Moria Mining LLC and Winklevoss Treasury Investments, LLC. Cypherpunk said the package included the Z15 Pro hardware and the related hosting agreements needed to operate it.

The $33.33 million purchase price was paid through a pre-funded warrant issued to Winklevoss Treasury Investments. The warrant covers 43,290,042 Cypherpunk common shares at an exercise price of $0.001 each, based on a stated common-share price of $0.77.

That structure gives the seller or warrant holder the right to receive a substantial number of shares for a nominal additional payment. For existing shareholders, the transaction places the mining expansion alongside potential dilution from more than 43 million additional common shares. Cypherpunk has effectively used its equity as consideration for specialized infrastructure rather than funding the acquisition with cash or debt.

The deal also connects the mining unit to entities associated with the Winklevoss family’s digital-asset business interests, though Cypherpunk’s announcement identified Winklevoss Treasury Investments, rather than Winklevoss Capital itself, as the recipient of the warrant.

Zcash exposure now combines treasury holdings and mining revenue

Cypherpunk’s strategy relies on two channels of exposure to ZEC: holding the asset directly and mining new coins through operating infrastructure. The company’s disclosed 323,394.38 ZEC treasury gives it a sizeable position in a cryptocurrency with a comparatively limited circulating supply, while the mining fleet adds a recurring source of potential ZEC production.

That approach also increases the company’s dependence on Zcash’s economics. Mining income can fluctuate sharply with ZEC’s price, network hashrate, difficulty adjustments, power costs, hosting terms and machine uptime. A larger network hashrate can reduce the share of rewards earned by any individual operator, while a decline in ZEC’s market value can reduce the dollar value of the same number of mined coins.

Cypherpunk’s stated target of eventually holding 5% of ZEC’s supply would require a significant expansion from its reported 1.92% position. The company did not specify a timetable, whether it would prioritize buying ZEC in the market, retaining mined production, or pursuing both approaches.

The 18% hashrate figure also places the company’s operating footprint near a level that may draw attention from Zcash users and miners focused on the network’s decentralization. Mining concentration does not automatically give an operator control over a blockchain, but a single participant with a large share of computing power has greater influence over block production than smaller competitors.

Zhang appointed to lead the mining unit

Cypherpunk appointed Zhang as head of mining to oversee the new operation. The company said Zhang began mining Bitcoin in 2014 and Zcash in 2016, later building several large Bitcoin mining facilities in North America.

According to Cypherpunk, Zhang led the conversion of a North American power plant into a Bitcoin mining site in 2019. That experience could be relevant to a deployment spread across hosted facilities, where energy supply, maintenance, equipment logistics and site management can determine whether headline hashrate translates into sustained output.

The mining division sits alongside Cypherpunk’s other stated Zcash-related activities, including a ZEC treasury and an investment tied to Zcash Open Development Labs, or ZODL, which the company described as a widely used Zcash wallet. Its corporate structure also includes Leap Therapeutics, a subsidiary developing cancer therapies including sirexatamab and FL-501.

By combining a large ZEC treasury with a fleet the company says represents nearly one-fifth of network hashrate, Cypherpunk has tied a larger share of its operating profile to the Zcash ecosystem than a simple token holder would carry.
