Twenty One Capital reports $413.5 million net loss

Twenty One Capital posted a $413.5 million net loss for the second quarter, driven overwhelmingly by a $401.5 million change in the value of its Bitcoin holdings, according to the company’s quarterly update. The accounting charge accounted for more than 97% of the reported loss and underscores how closely the NYSE-listed Bitcoin treasury company’s earnings move with cryptocurrency prices.

The company, which trades under the ticker XXI, held 43,514 BTC at the end of the quarter. At the valuation cited in its update, that position was worth about $2.78 billion. Twenty One also reported $106.1 million in cash and roughly $484.5 million in convertible notes outstanding.

Its shares rose about 1% to $4.62 in the first hour of Tuesday trading, though the stock remained down nearly 50% year-to-date. The gap between the company’s market performance and the size of its Bitcoin reserve has become a central issue for its new management team.

A Bitcoin-heavy balance sheet drives quarterly results

The reported loss does not indicate that Twenty One spent more than $400 million on day-to-day operations during the quarter. Instead, it largely reflects an accounting revaluation of the Bitcoin on its balance sheet. Under current accounting treatment for certain digital assets, companies can recognize changes in the fair value of their holdings in quarterly income.

That approach gives shareholders a more immediate view of gains and losses on a corporate Bitcoin reserve than the older impairment-based model, which generally recognized declines in value but did not record recoveries until a sale. The trade-off is a much more volatile income statement for companies whose main asset is Bitcoin.

For Twenty One, a reserve of 43,514 BTC makes that volatility difficult to separate from its operating performance. A change in Bitcoin’s market price can alter the value of the company’s holdings by hundreds of millions of dollars, while cash, debt and any future operating businesses make up a far smaller part of its financial structure.

The company’s convertible notes add another consideration. Convertible debt can offer lower borrowing costs than traditional debt because lenders receive an option to convert their notes into shares under specified terms. Yet it can also increase financial pressure if the company needs cash for interest, maturities, acquisitions or working capital while its stock trades below expectations.

New chief executive outlines a broader operating plan

The earnings update arrived about three weeks after Raphael Zagury replaced founder Jack Mallers as chief executive. Mallers stepped down to focus on Strike, the Bitcoin payments company he founded.

The management change also reshaped Twenty One’s corporate plans. Strike exited a proposed merger involving the company, while a potential acquisition of Elektron Energy, a Bitcoin mining business led by Zagury, had been under consideration.

In his shareholder letter, Zagury set out five priorities for the coming year: strengthening corporate governance; building or acquiring operating businesses; developing capital-markets capabilities; creating an M&A operations function; and eventually launching a Bitcoin lending and credit business.

Those goals would move Twenty One beyond a structure focused mainly on accumulating and holding Bitcoin. Building operating businesses could create revenue streams that are less dependent on daily Bitcoin price movements, while an M&A function suggests the company expects acquisitions to play a meaningful role in its strategy.

Zagury also referenced Berkshire Hathaway as a model. The comparison points toward a holding-company approach, in which a parent company owns businesses that generate cash and may redeploy that cash into other assets or acquisitions. Applying that model to a Bitcoin treasury company would require Twenty One to show that its operating assets can add value beyond the price exposure already available through Bitcoin itself.

Market valuation places pressure on the strategy

Twenty One ranks as the second-largest publicly traded Bitcoin treasury company by its reported holdings. Japan-based Metaplanet, which held 43,000 BTC in the comparison cited by the company, sits close behind.

Bitcoin Treasuries reported Twenty One’s enterprise mNAV at 0.7x. Enterprise mNAV compares a company’s enterprise value with the value of its Bitcoin holdings, adjusting for debt and other balance-sheet items. A ratio below 1x can indicate that the market is valuing the company at less than the adjusted value of its Bitcoin reserve.

That discount does not, by itself, establish why traders are assigning a lower valuation. It can reflect concern about debt, potential dilution from convertible notes, corporate expenses, the execution risk of acquisitions, or a preference for holding Bitcoin directly rather than owning shares in a treasury company.

For Twenty One, the 0.7x figure creates a practical challenge. Issuing stock while shares trade at a substantial discount to the value of the underlying Bitcoin could be costly for existing shareholders. Issuing additional debt would also need to be weighed against the company’s existing $484.5 million in convertible notes and its limited cash balance relative to its digital asset position.

Cash flow will be the test of Zagury’s plan

The next phase for Twenty One will depend less on the headline size of its Bitcoin reserve than on whether Zagury can build a business that supports the reserve without requiring repeated capital raises. Acquiring energy-related assets or mining operations could provide access to infrastructure and potential revenue, but such businesses also bring operating costs, commodity-price exposure and execution risk.

A Bitcoin lending and credit operation would introduce a different set of challenges. Lending against volatile collateral requires conservative risk controls, liquidity management and clear procedures for margin calls and liquidations. The company has presented the business as a long-term objective rather than an immediate launch.

Twenty One’s second-quarter loss therefore offers a clear picture of its current structure: a large Bitcoin position, modest cash relative to that position, outstanding convertible debt, and a new chief executive seeking to turn a treasury vehicle into a more diversified holding company. Whether that shift narrows the discount in its share price will depend on financial discipline and the ability to produce durable cash flows alongside its Bitcoin holdings.
