TD Cowen cuts The Smarter Web target

TD Cowen cut its price target for The Smarter Web Company PLC to £0.64, or about $0.86, from £1.00, or about $1.35, while keeping a buy rating on the London-listed bitcoin treasury company, according to a client report from the investment bank.

The revised target still implies a sharp gain from the company’s Monday morning trading level of about £0.287, or $0.39, on the London Stock Exchange. Based on that price, TD Cowen’s new target points to potential upside of roughly 123%, even after the bank lowered its valuation assumptions.

The reduction reflects updated bitcoin price forecasts, changes in treasury activity, and dilution expectations, analysts led by Vitanza wrote in the report. The bank’s model assigns £63 million of value to the company’s treasury operations and values its projected bitcoin holdings at £229 million by the end of 2026.

After deducting an estimated £18 million of net debt, TD Cowen calculated a target equity value of £274 million. That works out to £0.64 per share based on 426 million fully diluted shares.

The report described The Smarter Web Company’s business strategy as heavily centered on building a bitcoin reserve. The company most recently disclosed holdings of 2,878 BTC, making the value of its balance sheet highly sensitive to movements in the bitcoin price.

TD Cowen’s base case assumes bitcoin will trade near $140,000 by December 2026. That would be about 15% above its previous all-time high. The bank also expects the company’s pace of bitcoin purchases to return gradually toward levels seen in fiscal 2025.

The new target shows that TD Cowen remains constructive on the company’s long-term strategy, while also recognizing the rising cost of funding bitcoin purchases and the effect of share dilution. For traders, the report highlights the central tension in the stock: the company offers amplified exposure to bitcoin, but that exposure comes through a small public company with financing needs, operating losses, and market risk.

Lower target, but still a bullish valuation

The size of the price target cut is significant. A move from £1.00 to £0.64 represents a 36% reduction in TD Cowen’s estimate of fair value. Still, the bank’s maintained buy rating suggests it believes the recent share price does not fully reflect the value of the company’s bitcoin strategy and its expected future holdings.

The Smarter Web Company’s share price has been volatile, reflecting both its own corporate activity and broad swings in digital asset sentiment. Because the company’s strategy is built around accumulating bitcoin, its equity market value can move differently from a traditional technology or marketing business. The stock is partly valued on operating performance and partly on the market’s view of its bitcoin treasury.

A major part of the revised valuation comes from TD Cowen’s updated bitcoin price assumption. The bank’s base case of about $140,000 by December 2026 is central to its view of The Smarter Web Company because the company’s most important asset is its bitcoin reserve.

At the latest disclosed level of 2,878 BTC, changes in bitcoin’s market price can have a large impact on the company’s reported asset value. A rise of $10,000 per bitcoin would increase the gross value of that holding by about $28.8 million before taxes, liabilities, or other adjustments. A decline of the same size would reduce the gross value by the same amount.

That sensitivity is why bitcoin treasury companies often trade with greater volatility than the underlying cryptocurrency. The equity price may reflect expectations for future bitcoin purchases, future capital raising, operational performance, governance, and market confidence. It is not simply a one-for-one reflection of the bitcoin price.

TD Cowen’s analysis also points to the importance of the company’s acquisition pace. The report assumes bitcoin buying will gradually return to the rate seen in fiscal 2025. If the company buys more bitcoin at favorable prices, per-share holdings could rise. If purchases occur at higher prices or require heavy share issuance, the benefit to existing holders may be reduced.

The analysts also said that in a favorable market environment, the company’s per-share bitcoin exposure could outperform spot bitcoin exchange-traded products. That view appears to rest on the company’s ability to raise capital and acquire more bitcoin in a way that increases per-share treasury value over time.

Share issuance remains a key factor

The company announced a fresh funding round on Monday morning, raising exactly £207,227 through the sale of 703,160 new ordinary shares at about £0.295 each. The proceeds are intended to strengthen cash reserves and support future growth.

The funding was completed close to the company’s recent market price. For traders, the placement price is important because it offers a real-time signal of where the company is able to raise capital. When a company depends on share sales to fund purchases or acquisitions, the price and frequency of those sales can have a direct effect on per-share value.

The Smarter Web Company still has nearly 47 million shares available to be issued under its current funding arrangement. That gives the board flexibility to raise more capital, but it also creates potential dilution if additional shares are sold.

The company said it plans to use the new capital partly to buy other online marketing businesses in an effort to increase recurring monthly revenue. That plan shows that the board is not relying only on bitcoin accumulation. It also wants to expand the company’s operating business.

The Smarter Web Company has roots in web design, online marketing, and digital services. Acquiring smaller online marketing firms could help it build more predictable revenue, broaden its customer base, and reduce dependence on one business line.

Still, acquisitions bring their own risks. Buying small companies can be difficult to execute well. Management must handle valuation, integration, customer retention, staffing, and cost control. If deals are too expensive or poorly integrated, they may drain cash rather than improve performance.

For a company already known for its bitcoin treasury strategy, the operating business remains important. A stronger core business could support future treasury activity by generating cash flow. A weaker core business could increase the need for outside funding.

That distinction matters because treasury gains can be volatile, while operating cash flow is typically a more stable measure of business health. Market participants will likely watch whether the company can show progress in recurring revenue, margins, and cash generation while continuing to manage its bitcoin position.

Governance and financial oversight in focus

TD Cowen also cited the appointment of Hewett as chief financial officer as a positive development for the company’s financial management, corporate governance, and capital markets activity.

The CFO role is especially important for a company using a treasury strategy tied to bitcoin. The finance chief must oversee liquidity, reporting, risk management, funding decisions, and compliance. The role also includes communicating with the market about how capital is raised and deployed.

Hewett’s background in institutional investment banking and financial strategy may help the company as it navigates share issuance, acquisitions, and treasury management. Strong financial controls are particularly relevant when a company holds a large amount of bitcoin, because digital assets require careful custody arrangements, valuation policies, and risk procedures.

Chief Executive Officer Webley has previously described the company’s bitcoin approach as a modern reserve strategy. The board has also acknowledged that the policy exposes the company to sharp market swings. That makes oversight a central issue, not a secondary concern.

For traders, governance can influence how much confidence the market places in the company’s strategy. A bitcoin treasury may attract attention, but long-term credibility depends on whether the company can manage financing, reporting, and risk in a disciplined way.

Operating performance remains under pressure

While TD Cowen’s report keeps a positive rating on the stock, other quantitative assessments have been more neutral. An automated rating model recently gave the shares a neutral score and pointed to weak operating performance and negative cash flow as important concerns.

Those concerns are not unusual for a smaller company pursuing an aggressive growth and treasury strategy. However, they are important because they affect the company’s ability to fund itself without repeated share issuance.

Negative cash flow means the company must rely on existing cash, debt, asset sales, or new equity to support its plans. In a strong market, raising capital may be easier. In a weaker market, it can become more expensive and more dilutive.

The company’s operating performance will therefore remain a key part of the story, even though the stock is closely tied to bitcoin. Traders will be looking for clearer evidence that the core business can produce stable revenue and eventually support the broader treasury plan.

If earnings reports show improving cash generation, the market may place more value on the company’s strategy. If losses widen or cash use remains high, the stock could remain under pressure even if bitcoin performs well.

TD Cowen’s new £0.64 target suggests the bank still sees meaningful value in the company’s plan. But the reduced target also serves as a reminder that the strategy depends on assumptions that can change quickly. Bitcoin price forecasts, financing conditions, and dilution estimates all have a major influence on the valuation.

The company’s latest funding round was small in size, but it showed that management remains active in the market and willing to raise capital to support its plans. With tens of millions of shares still available under the funding arrangement, further issuance remains possible.

For traders, the next key signals are likely to come from several areas: the company’s pace of bitcoin accumulation, the price at which any new shares are issued, progress on online marketing acquisitions, and evidence of stronger recurring revenue.

The stock’s recent market level remains far below TD Cowen’s revised target. That gap reflects both potential reward and market caution. The company may benefit if bitcoin rises and if management can increase per-share treasury value. But it also faces the risk that volatile digital asset prices, negative cash flow, or repeated dilution could weigh on returns.

The lowered target does not remove the bullish case. It narrows it. TD Cowen is still saying the shares could more than double from Monday morning levels, but it is also applying a stricter view of the costs and risks behind that outcome.
