1. Overview
1.1 This Toobit Earn Products Agreement (hereinafter referred to as "this Agreement") is a legal agreement between you and Toobit (hereinafter referred to as "the Platform" or "we") regarding the use of Toobit's Earn services, including but not limited to flexible savings and fixed savings. Before using these services, you should carefully read and fully understand all the terms of this Agreement. You must agree to these terms before using any Earn products.
1.2 Unless you have fully read and accepted all the terms of this Agreement, you are not authorized to use Toobit's Earn services. If you have any questions about this Agreement, please contact us. We will provide detailed explanations and assistance to help you make an informed decision about whether to accept this Agreement and use our services.
1.3 This Agreement applies to all activities involving the purchase of Earn products on the Platform. This Agreement serves as a supplementary agreement to the User Agreement. If there are inconsistencies between this Agreement and the User Agreement, this Agreement shall prevail. Matters not explicitly addressed in this Agreement shall adhere to the provisions of the User Agreement.
1.4 Purchasing Earn products is a voluntary investment decision made by you based on your understanding of your own financial situation and associated risks. This behavior is independent of the platform and any third parties.
2. Definitions
Toobit’s Earn services allow users to deposit digital assets on the Platform for locking, earning interest, and enjoying market returns. These services support 24/7 participation and redemption, relying on Toobit's robust risk management system to ensure asset security and provide corresponding returns.
Definitions related to these services include:
2.1 T Day: A natural day based on Coordinated Universal Time (UTC).
2.2 T Hour: One hour within a normal trading day under the UTC time zone.
2.3 Locking: The process of depositing user-selected tokens into Toobit Earn products until the agreed unlocking time.
2.4 Unlocking: The release of locked tokens upon reaching the agreed unlocking time, with funds transferred to the spot account.
a. Users can choose between fixed-term or flexible Earn products. Fixed-term products may not support early redemption, while flexible products allow free access.
b. Special tokens subject to blockchain restrictions may require specific rules for participation.
3. Agreement and confirmation
3.1 By subscribing to Toobit Earn services, you agree and confirm the following:
a. Toobit may partially or wholly hold or store your digital assets.
b. Toobit may merge your savings assets with those of other users.
c. You irrevocably authorize Toobit to manage your Earn account assets in ways it deems appropriate to achieve the published returns.
d. During the term, any voting rights attached to your Earn account assets shall be delegated or assigned to the Platform.
e. Toobit may set the following terms at any time based on service needs:

Minimum deposit amount for subscribing to Earn services;

Maximum fund size for each product;

Redemption deadlines;

Redemption limits;

Subscription limits;

Annualized percentage yields (APY);

Fees or charges.
3.2 You further agree and confirm:
a. As an individual, you are at least 18 years old or meet the legal age required to enter into binding agreements under applicable laws and regulations.
b. As a legal entity or organization, you possess all legal capacity and authorization necessary to enter into this Agreement, and the obligations under this Agreement are binding.
c. You will not use this service for illegal activities, including but not limited to illegal gambling, money laundering, fraud, extortion, data breaches, or terrorist financing.
d. You will not participate in, promote, or engage in market manipulation, price manipulation, insider trading, or any other activities that may adversely impact the market.
3.3 Regarding the registration information you provide ("Registration Information"), you agree to:
a. Provide legal, truthful, accurate, and complete registration information and update it promptly in the event of changes. If the information is untrue or inaccurate, you will bear the relevant responsibility.
b. Toobit reserves the right to impose restrictions, suspend, or terminate services based on your registration information and compliance requirements.
c. To comply with regulations (e.g., KYC and anti-money laundering), Toobit may require you to provide identity verification and/or financial information. If you are unable to access your account, Toobit may request identity verification to confirm ownership.
d. Safeguard your username and password to prevent sharing with others. If your account is compromised, notify Toobit immediately.
4. Risk warning
Investing in the Platform's Earn products may yield high returns but also entails significant risks. Below are key risk factors you should be aware of:

Asset Risks: You may incur losses due to risks associated with the non-tradability of digital assets.

Market Risks: The volatile nature of digital asset markets means prices are significantly influenced by market changes, policy adjustments, and other factors, potentially resulting in losses.

Technology Risks: Platform technical failures, delays, or anomalies may affect your use of Toobit Earn services and result in asset losses.

Policy Risks: Regulatory changes or adjustments in laws and policies by governments may restrict or prohibit digital asset trading.

Transaction Delays: Some transactions may not be confirmed within the specified timeframe.

Project Risks: DeFi projects may involve risks such as smart contract vulnerabilities, hacking, or project team withdrawal.

Agreement Changes: To maintain market order, Toobit reserves the right to adjust, delete, or modify this Agreement or related policies.
5. Product types
5.1 This Agreement covers flexible and fixed-term Earn products.
a. By pledging digital assets to flexible or fixed-term products, you subscribe to specific Toobit Earn services. Once confirmed, your choice is final and cannot be canceled, revoked, or modified.
b. After subscription, Earn account assets will accrue returns based on the published APY. The APY may vary by asset type or amount and may change periodically. Please review updates regularly.
5.2 Fixed-term Earn
a. Fixed-term products generate returns based on rates available at the time of subscription.
b. Fixed-term products generally do not allow early redemption. Rules for early redemption, if available, are product-specific and may involve penalties or deductions of distributed interest.
5.3 Flexible Earn
a. Flexible Earn products accrue interest based on specified annual rates.
b. Redemption rules: Flexible Earn allows asset redemption at any time. Redeemed assets may be credited immediately, subject to token-specific timelines.
5.4 Redemption Terms: Redeemed assets cannot be returned, transferred, or otherwise used before being credited. Delays in crediting may occur due to market fluctuations, network delays, high redemption volumes, or unforeseen events. The displayed crediting time is final, and Toobit is not liable for resulting losses.
5.5 Expected returns: Past returns do not guarantee future returns. Toobit does not ensure that you will receive interest income based on the current APY. All return estimates are for reference only and not guarantees.
5.6 Account records: You can review account history on the Platform and should verify the accuracy of entries and transactions. Report discrepancies to Toobit within 14 days.
6. Limitations
6.1 Compliance with applicable laws may require us to share account and usage information with third parties.
6.2 Toobit reserves the right to suspend or terminate services without liability for losses arising from:
a. Temporary or permanent bans on accessing Earn services;
b. Restrictions on subscribed Earn services;
c. Delays in Earn service transactions.
6.3 Maintenance and upgrades: Services may not always be continuous. Toobit is not liable for losses during maintenance or upgrades unless otherwise agreed.
6.4 Official communication: Toobit communicates via the official website, email, support hotlines, and SMS. Toobit is not responsible for non-official sources. Contact us for authenticity verification.
7. Liability
Toobit is not liable for damages resulting from service interruptions or failures due to:

System malfunctions, delays, or disruptions;

Scheduled maintenance;

Data transmission failures;

Force majeure events, including natural disasters, pandemics, or government actions;

Hacking, viruses, or other unforeseen issues.
8. Enforcement measures
Toobit prohibits unfair trading practices, including market manipulation, price fixing, and other harmful activities. Violations may result in account restrictions or termination without liability for related losses.
9. Indemnification
You are responsible for indemnifying Toobit against losses resulting from your violations of this Agreement or misuse of services.
10. Translation
In case of discrepancies, the English version of this Agreement prevails.
11. Final interpretation rights
Toobit reserves the right to interpret this Agreement.
